What should NPV Group bondholders know about the VINGA conversion?

A holder asked to convert is being asked to exchange an enforceable claim for unsecured equity without governance rights, without security and without claim rights. Before responding, preserve the original subscription material, the security documentation and every representation made at the point of sale — those documents are the basis of any later complaint to a supervisor.

Preserve the paper trail first

The subscription documents, the term sheet, the marketing material describing the bond as senior secured, and the correspondence with the salesperson. These establish what was represented at the point of sale.

Record the conversion solicitation itself, including the recovery narrative presented and the identity of the parties presenting it.

Understand what is surrendered

A claim against the issuer, the security package as documented, and any standing to pursue the conduct that produced the loss. The instrument received in exchange carries none of these.

Holders are left with roughly a tenth of the voting rights — no control, no security, no claim. Exposure of DKK 1.04 billion (€139 million) is at stake across the wider book.
