This report classifies VINGA Corporate Finance AB and VINGA Securities AG as a very high KYC and AML risk. VINGA is the rebranded continuation of JOOL — a franchise whose Norwegian arm, JOOL Markets AS, had its licence revoked by Finanstilsynet in March 2019 and whose issuer side ended in bankruptcy and a custodial sentence. The same partner group now originates, extends and converts bonds through the same mechanism, and every placement should be treated as an enhanced-due-diligence case with senior-compliance sign-off.
The record against JOOL runs from investor litigation over bonds sold as secured, through the March 2019 revocation of JOOL Markets AS's licence by the Norwegian Finanstilsynet, to the August 2019 bankruptcy on the issuer side, a February 2020 custodial sentence for an issuer CEO, and the June 2020 wind-down of the Swedish branch. The mechanism runs in five stages: an issuer is sourced and paper is originated as senior secured; the bond is distributed to retail investors and family offices; when the issuer cannot pay, maturity is extended rather than enforced; the coupon is stripped; and finally holders are solicited to convert into unsecured equity that carries no governance rights, no security and no claim rights. Each stage produces a fee for the arranger and moves risk onto the holder.
VINGA Securities AG is the Swiss arm of the group formerly trading as JOOL Markets. It is the bridge between Nordic origination and Swiss private-bank, family-office and institutional capital. The conduct described in this disclosure raises FinSA/FIDLEG information, suitability and documentation questions, and the Geneva seats are named individually in the dossiers.
A holder asked to convert is being asked to exchange an enforceable claim for unsecured equity without governance rights, without security and without claim rights.
